Welcome to Skimatly. By accessing or using our website, joining our waitlist, or using our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the service after any modifications constitutes acceptance of the new Terms.

2. Service Description

Skimatly is an AI-powered electronic design automation (EDA) platform that transforms natural language commands into IEEE-standard electronic schematics. Our service includes:

AI-driven schematic generation from natural language inputs
Access to a comprehensive component library (5000+ components)
Intelligent routing and layout optimization
IEEE/IPC standards compliance
Schematic export and integration capabilities

Waitlist Phase: Skimatly is currently in a pre-launch waitlist phase. By joining the waitlist, you will receive early access notifications and updates about the service launch.

3. Eligibility

You must meet the following criteria to use Skimatly:

Be at least 13 years of age (or the age of majority in your jurisdiction)
Have the legal capacity to enter into binding contracts
Not be prohibited from using the service under applicable laws
Comply with all local, state, national, and international laws and regulations

If you are using Skimatly on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. User Accounts

4.1 Account Creation

When Skimatly launches, you may be required to create an account to access certain features. You agree to:

Provide accurate, current, and complete information
Maintain and update your account information
Keep your password secure and confidential
Notify us immediately of any unauthorized use of your account
Accept responsibility for all activities that occur under your account

4.2 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe:

Violates these Terms or our policies
Harms other users, third parties, or our business interests
Involves fraudulent, illegal, or abusive activity

5. Acceptable Use Policy

5.1 Permitted Uses

You may use Skimatly for lawful purposes, including:

Educational and research purposes
Personal hobby projects
Professional circuit design and development
Commercial product development (subject to your subscription plan)

5.2 Prohibited Uses

You agree NOT to use Skimatly for any of the following:

Violating any applicable laws or regulations
Infringing on intellectual property rights of others
Transmitting malware, viruses, or harmful code
Attempting to gain unauthorized access to our systems
Reverse engineering, decompiling, or disassembling our software
Scraping, crawling, or using automated tools to extract data
Impersonating any person or entity
Harassing, threatening, or abusing other users or our staff
Uploading offensive, illegal, or inappropriate content
Reselling or redistributing our services without permission

6. Intellectual Property Rights

6.1 Our IP

Skimatly and all associated technology, software, designs, logos, trademarks, and content are the exclusive property of Skimatly or its licensors. You may not copy, modify, distribute, sell, or lease any part of our services without explicit written permission.

6.2 Your Content

You retain ownership of any circuit designs, schematics, or content you create using Skimatly ("Your Content"). By using our services, you grant us a limited, worldwide, non-exclusive, royalty-free license to:

Host, store, and process Your Content to provide our services
Display Your Content to you and users you authorize
Create backups and derivative works necessary for service operation
Analyze anonymized usage data to improve our AI models and services

6.3 Component Library

Our component library is provided for use within Skimatly to generate schematics. You are permitted to:

Export your designs: You may export schematics you create to your preferred EDA tools (KiCAD, Altium, etc.)
Use components in your projects: Components used in your schematics are part of your design

However, you may NOT:

Scrape or extract the library: You may not systematically download, scrape, or extract our entire component library database
Redistribute the library: You may not copy, distribute, or resell our component library as a standalone product
Create competing services: You may not use our library to build competing EDA platforms or symbol libraries

6.4 AI-Generated Content

Schematics and designs generated by our AI system are considered Your Content, subject to the licensing terms above. However, we cannot guarantee that AI-generated content does not infringe on third-party rights, and you are responsible for ensuring compliance with applicable regulations and standards.

7. Pricing and Payment

7.1 Waitlist Phase

During the waitlist phase, joining the waitlist is free. No payment information is collected at this time.

7.2 Future Pricing

When Skimatly launches, we may offer various subscription plans with different features and pricing tiers. Pricing details will be communicated to waitlist members before launch.

7.3 Payment Terms (Post-Launch)

All fees are exclusive of applicable taxes unless otherwise stated
Subscription fees are billed in advance on a recurring basis (monthly or annually)
Payment must be made using accepted payment methods
We reserve the right to change pricing with 30 days' notice
Refund policies will be outlined in our separate Refund Policy

8. Disclaimer of Warranties

IMPORTANT: Skimatly is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to:

Accuracy, reliability, or correctness of AI-generated schematics
Merchantability or fitness for a particular purpose
Uninterrupted, timely, secure, or error-free operation
Compatibility with IEEE/IPC standards for production use

We implement industry-standard security measures to protect against threats, but cannot guarantee absolute security as no system is 100% secure.

Engineering Responsibility: AI-generated schematics should always be reviewed, verified, and tested by qualified engineers before use in production. Skimatly is a design assistance tool and does not replace professional engineering judgment.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Skimatly and its affiliates, officers, directors, employees, and agents shall NOT be liable for:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or use
Damages resulting from AI-generated design errors or inaccuracies
Damages from production failures, recalls, or safety issues
Damages from unauthorized access or data breaches
Damages from service interruptions or downtime

Our total liability for any claims arising from your use of Skimatly shall not exceed the amount you paid us in the 12 months prior to the claim, or $100 USD, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless Skimatly and its affiliates from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

Your use or misuse of our services
Your violation of these Terms
Your violation of any third-party rights, including intellectual property rights
Your Content or any designs you create using Skimatly
Production or sale of products based on AI-generated schematics

11. Data and Privacy

Your use of Skimatly is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using our services, you consent to our data practices as described in the Privacy Policy.

12. Service Availability

We strive to provide reliable service, but we do not guarantee uninterrupted access. We reserve the right to:

Modify, suspend, or discontinue any part of the service
Perform maintenance and updates
Implement rate limits or usage restrictions
Change features, functionality, or APIs with notice

13. Export Compliance

Skimatly may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws and regulations in your use of our services.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

14.2 Dispute Resolution

KiCAD, Altium, Eagle, OrCAD, and other product names mentioned in these Terms are trademarks or registered trademarks of their respective owners. Skimatly is not affiliated with, endorsed by, or sponsored by these companies. References to third-party products are made solely for the purpose of describing compatibility and interoperability.
